Mr. Kingsbury is a partner in the Business Department at Montgomery McCracken.  He counsels for-profit and non-profit concerns in connection with their business operations.

Mr. Kingsbury's professional experience includes the following representations:

  • Counseled partnerships, limited liability companies, and corporations engaged in a variety of industries in connection with a broad range of transactions including mergers, acquisitions, divestitures, entity conversions, equity and debt financings and commercial contracts;
  • Counseled health care system in connection with the acquisition of facilities throughout the Commonwealth of Pennsylvania;
  • Counseled health care system in connection with a variety of capital projects, including real estate development and construction projects;
  • Counseled institutional investors in connection with the establishment, maintenance and evaluation of commission recapture programs;
  • Counseled institutional investors with respect to their evaluation of pursuing lead plaintiff or opting out of the class with respect to class action securities litigations;
  • Counseled institutional investors with respect to the engagement of investment consultants;
  • Counseled institutional investors with respect to the establishment of alternative investment programs, including direct real estate investments, hedge funds and funds-of-funds, and private equity and venture capital funds;
  • Counseled institutional investors in connection with the negotiation of custody and trust agreements;
  • Counseled directors and trustees regarding fiduciary duties and best practices;
  • Counseled pension consultants in connection with status questions under the Investment Advisers Act of 1940 and other regulatory matters;
  • Counseled a large mutual fund complex with respect to the tender of foreign debt securities in connection with a master restructuring and the subsequent sale of the securities to a third party;
  • Counseled a start-up third party solicitor for investment advisers, including the negotiation of the solicitation agreements and regulatory matters;
  • Counseled a start-up third party solicitor for hedge funds-of-funds and private equity funds, including the negotiation of the solicitation agreements and regulatory matters;
  • Counseled investment advisers regarding formation, regulatory compliance, and transactions;
  • Counseled regional and national real estate investment funds in connection with their formation, operation, transactions and regulatory matters;
  • Served as outside general counsel to for-profit and non-profit businesses engaged in various industries.

Mr. Kingsbury is a director of the Berwyn Paoli Area Little League, Pennsylvania Youth Foundation and Pennsylvania Masonic Library and Museum.  He also serves on the board of advisers to the Villanova University School of Law's Sports and Entertainment Law Journal.
