2:30-3:30 pm - "Recruiting & Being Recruited for a Top Quality Board"
"You only have to attend a couple of meetings a year." If you ever hear that phrase in a discussion about joining the Board of Directors of a charitable organization, you know the Board isn't very serious. Board service is a serious commitment. It can be exhilarating, rewarding and a lot of fun. Or it can be a drag and an imposition. Learn how to attract top quality people to a charity board and what those top quality prospects should consider in deciding whether to accept. "Due diligence" applies on both sides of the recruitment process. Some of the issues and the key questions to ask will be discussed by lawyers who work with nonprofit organizations and serve on numerous nonprofit boards.

3:30-4:45 pm - "The Risks of Occupational Fraud and Abuse"
Nonprofits are vulnerable to embezzlement by their very nature. They are motivated by their mission and not necessarily by making a profit; thus, leading to limited resources allocated to accounting, internal controls and financial oversight. This session will focus on red flags, employee behavior patterns and fraud prevention measures.

4:45-5:30 pm - "Insurance and Risk Management: What You May Be Missing"
So you think your insurance binders tucked away on your shelf have got your "back"? Don't be so sure, there is a reason those policies are so thick. Insurance in itself is there to protect you but do not be mistaken, insurance carriers are not your friends. This session will focus on some of the typical "gaps" and issues you need to look for in your insurance contracts and what can be done to insure, mitigate or eliminate these exposures.

David A. Gruber, CPA, EisnerAmper
Mr. Gruber is a leader in the Not-For-Profit Services Group and has earned a reputation for his expertise and ability to solve the unique problems encountered by nonprofits. With over 35 years of experience, he delivers a wide range of services to clients, including implementing cost and management information systems, profit improvement plans, budgetary controls, and business advice on specific program issues. Mr. Gruber is a published author, contributing articles on a number of important accounting topics to various industry journals. He is also a frequent speaker on nonprofit accounting and auditing topics to a range of professional organizations.
Donald W. Kramer, Esq., Montgomery McCracken
Mr. Kramer has more than 35 years of experience dealing with the concerns of nonprofit organizations, not only as a lawyer, but also as a teacher, writer, publisher and board member. He has worked with nonprofits of all types and sizes, helping structure start-up situations and restructure multi-organizational health and educational systems. He counsels on a wide range of nonprofit corporate structure and governance, private and community foundations, continuing care retirement communities, exempt organization taxation, low income housing tax credit transactions, real estate, charitable giving and other nonprofit issues. Leon A. LaRosa, Jr., CPA, CFE, CFF, EisnerAmper
Mr. LaRosa serves as a partner in the Litigation Services Group. He has over 45 years of diversified experience in the public and private accounting sectors, as well as academia. He has served both public and privately held companies in the professional service, healthcare, wholesale, retail, real estate, technology, insurance, financial, government defense contracting, local government and manufacturing industries. Mr. La Rosa has served as an expert witness and/or consultant in areas such as financial statement fraud, employee fraud, professional malpractice, commercial and personal injury economic damages litigation, related party liability, bankruptcy, re-organization and arbitration services. In addition, he has served as chief financial officer in the healthcare, computer services and real estate industries.
Virginia P. Sikes, Esq., Montgomery McCracken
Ms. Sikes is a partner in the Business Department and member of the Tax Section at Montgomery McCracken. She serves as the firm's Financial Partner and a member of the firm's Management Committee. Her practice concentrates on tax controversies, state and local taxation, and tax-exempt organizations, including foundations. Ms. Sikes has served as counsel to other law firms on tax-exempt and state and local tax issues. She has counseled tax-exempt organizations on numerous matters, including a reorganization involving the creation of the first national bank held by an exempt organization. Ms. Sikes represents national corporations in Pennsylvania corporate net income, franchise and sales tax controversies.
J. Brett Studner, Odell Studner
Mr. Studner is the vice chairman of The Odell Studner Group and has over 30 years of experience in the insurance industry. His concentration and dedication to the Healthcare and Social Services arenas makes him one of the leaders in the Tri-State area in insuring these types of operations. Mr. Studner currently serves on several outside board of directors, but is most proud of the work he does as an active board member and officer on numerous not for profit organizations within our community. He has also received several awards and honors within the charitable community for his commitment and dedication.
