Biography

Bree F. Archambault is a partner in Montgomery McCracken’s Business Department. She focuses her practice on transactions such as mergers and acquisitions, joint ventures, and equity and debt financing. Bree also advises private and public companies on corporate governance, compliance with the federal securities laws and exchange listing requirements, and general corporate matters.

Prior to joining Montgomery McCracken, Bree was an attorney at a global law firm.

Selected Representations

  • Represented several banks and bank holding companies in acquisitions ranging from $100 million to $150 million, capital raises, and general corporate matters;
  • Represented private distributor of natural and organic foods in its $217 million acquisition by a large national food distributor;
  • Represented large clinical health system in a strategic combination resulting in a combined health system encompassing 5 hospitals, 9 outpatient care centers, and 4 urgent care centers;
  • Represented BBC Worldwide in its sale of a minority interest in BBC Americas, Inc. to AMC Networks and the related structuring of the joint venture;
  • Represented a European public company, in its $30 million acquisition of a private U.S. plastic manufacturer with Mexican and Polish subsidiaries;
  • Represented multi-national client in tender offer process with top-up option to acquire U.S. public company supplier of lubrication systems and tools for over $1 billion;
  • Represented a public company in its $120 million acquisition via tender offer of a public company target;
  • Represents public companies in ongoing corporate and securities matters, including proxy statements, periodic reports, preparation for board meetings, confidential treatment requests, Section 16 filings, shareholder proposals, and review of anti-takeover measures.

Community Involvement

Bree serves as pro bono counsel to one of Pennsylvania’s juvenile lifers without parole, in connection with a post-Miller resentencing hearing. She also serves on the advisory board of the Philadelphia chapter of Back on My Feet, a non-profit working to battle homelessness.
