Biography

Jon C. Hughes serves as of counsel in Montgomery McCracken’s Business Department. He focuses his practice on advising public and privately-held entities on business transactions including corporate finance, corporate governance, mergers and acquisitions, and financial services.

Jon counsels his clients, the majority of which are outside of North America, on debt and equity financing, acquisition and divestiture of assets, and general corporate matters. In addition, he has served as underwriter’s counsel in several significant transactions. He has experience with exempt securities offerings and in the preparation and review of disclosure and other periodic filings required as part of ongoing compliance with securities laws and regulations.

As a sub-set of his corporate and securities practice, Jon has significant experience in the emerging companies space and the entrepreneurial ecosystem. His experience includes representing both institutional investors and early-stage companies and entrepreneurs with respect to legal and business matters such as formation, funding, debt and equity financing, angel, venture capital and private equity rounds, and equity incentive plans. Jon has worked with local incubators and accelerators, as well as the Drexel University School of Law Business and Entrepreneurship Program and the University of Pennsylvania School of Law Entrepreneurship Legal Clinic. In addition to practicing in the area, he authored a chapter on trends in private equity and venture capital, and he has lectured on similar topics.

His Employee Benefits experience includes providing both tax and ERISA counsel and Jon has drafted, reviewed, and provided counsel on various executive compensation and employee benefit plans, including executive employment agreements, bonus plans, and equity and phantom equity plans. Jon has represented private and governmental plans, including collectively bargained defined benefit, defined contribution and health and health and welfare plans.

Since 2014, Jon has served as an adjunct professor at the University of Pennsylvania School of Law where he teaches Transactional Drafting. In addition, Jon has worked with students at Villanova University Charles Widger School of Law and Drexel University Thomas R. Kline School of Law.

Prior to joining Montgomery McCracken, Jon was an attorney at a global law firm.

Academic Achievements

Jon earned his LL.M. in Taxation from the New York University School of Law. He earned his J.D. from the University of Pittsburgh School of Law, and received his B.A. from the University of Pittsburgh.
