William L. Kingsbury, co-chair of the Business Department at Montgomery McCracken, advises for-profit and nonprofit businesses with respect to their general operations, structure and governance and in connection with complex transactions, such as mergers, acquisitions, divestitures, conversions, equity and debt financings, capital projects and commercial contracts.

Bill represents companies engaged in a variety of industries, including investment management, manufacturing, professional services, sports and entertainment, health care and life sciences. He also advises institutional investors, including endowments, foundations and pension plans, in connection with all aspects of their investment programs.

  • nationally recognized institutional investment advisory firm that consults public pension and welfare funds and private investment pools within excess of $5 billion in connection with the sale of the business to an independent investment consulting firm;
  • institutional investors in connection with fiduciary best practices, commission recapture and securities lending programs, litigation strategies, alternative investment programs (including direct real estate investments, hedge funds and funds-of-funds, and private equity and venture capital funds), and the engagement of investment managers, investment consultants, custodians and trustees;
  • large mutual fund complex with respect to the tender of more than $1 billion of foreign debt securities in connection with a master restructuring and the subsequent sale of the securities to a third party;
  • subsidiary of large pharmaceutical company in connection with the acquisition of several target companies in the virtual health care industry;
  • manufacturer of precision plastic components for the health-care and pharmaceutical industries in connection with the sale of the business to a private equity fund through a forward cash merger;
  • manufacturer of precision plastic and glass components in connection with the sale of its glass division to a private equity owned strategic buyer;
  • subsidiary of a large pharmaceutical company in connection with the acquisition of a health care technology company through a reverse triangular merger;
  • single stream recycling business in connection with the sale to a large publicly traded waste hauler through a redemption and sale of membership interests;
  • a waste hauler in connection with the acquisition of the assets of a paper recycling operation;
  • investment professionals in connection with the spin-out of a sophisticated asset management business;
  • investment adviser in connection with the establishment of a platform series limited liability company to facilitate the transition of investment professionals;
