William L. Kingsbury is of counsel at Montgomery McCracken, where he advises for-profit and nonprofit businesses on their general operations, structure, and governance, and on complex transactions such as mergers, acquisitions, divestitures, financings, and commercial contracts.
Bill represents companies in investment management, manufacturing, professional services, sports and entertainment, health care, and life sciences. He also advises institutional investors, including endowments, foundations, and pension plans, on all aspects of their investment programs.

- Represented a nationally recognized institutional investment advisory firm that consults public pension and welfare funds and private investment pools within excess of $5 billion in connection with the sale of the business to an independent investment consulting firm.
- Represented institutional investors in connection with fiduciary best practices, commission recapture and securities lending programs, litigation strategies, alternative investment programs (including direct real estate investments, hedge funds and funds-of-funds, and private equity and venture capital funds), and the engagement of investment managers, investment consultants, custodians and trustees.
- Represented a large mutual fund complex with respect to the tender of more than $1 billion of foreign debt securities in connection with a master restructuring and the subsequent sale of the securities to a third party.
- Represented a subsidiary of large pharmaceutical company in connection with the acquisition of several target companies in the virtual health care industry.
- Represented a manufacturer of precision plastic components for the health-care and pharmaceutical industries in connection with the sale of the business to a private equity fund through a forward cash merger.
- Represented a manufacturer of precision plastic and glass components in connection with the sale of its glass division to a private equity owned strategic buyer.
- Represented a subsidiary of a large pharmaceutical company in connection with the acquisition of a health care technology company through a reverse triangular merger.
- Represented a single stream recycling business in connection with the sale to a large publicly traded waste hauler through a redemption and sale of membership interests.
- Represented a waste hauler in connection with the acquisition of the assets of a paper recycling operation.
- Represented investment professionals in connection with the spin-out of a sophisticated asset management business.
- Represented an investment adviser in connection with the establishment of a platform series limited liability company to facilitate the transition of investment professionals.
- Represented angel, venture capital and private equity investors in connection with direct investments in operating companies.
- Represented private equity and venture capital funds in connection with fund formations and a wide variety of portfolio company transactions, including acquisitions, divestitures, financings, and commercial contracts.
- Represented a manufacturer of precision plastic components for the health care and pharmaceutical industries in connection with the acquisition of a plastic packaging company in Puerto Rico.
- Represented a health care system in connection with the acquisition of long term care facilities throughout the Commonwealth of Pennsylvania.
- Represented a health care system in connection with a variety of capital projects, including real estate development and construction projects.
- Represented a startup third-party solicitor for investment advisers in connection with the negotiation of solicitation agreements, regulatory matters and its alternative investment offerings.
- Represented investment consultants in connection with the development of a discretionary investment programs.
- Represented sponsors of private pools of capital in connection with the formation, operation and governance of alternative investment products and strategies, including hedge funds, private equity funds and real estate funds.
- Represented entertainment industry executives in connection with the formation of a fund to pursue financing strategies in the motion picture and television markets.
- Represented a management team in connection with management buyout of national insurance brokerage operation from a large bank.
